2.Services
We provide custom software development, design, marketing and consulting services as detailed in individual Statements of Work (SOW). Every engagement is governed by both these Terms and a signed SOW.
3.Payments
- All quotes are valid for 30 days unless stated otherwise.
- Standard payment terms: 50% on kickoff, 50% on delivery (varies by SOW).
- Late payments incur 1.5% monthly interest after 30 days overdue.
- All prices are in USD unless otherwise specified.
4.Intellectual property
On full payment, you receive a perpetual, worldwide license (or full ownership transfer where stated in the SOW) to all custom-developed code, designs and assets created for your project. We retain rights to our internal tools, frameworks and reusable components.
5.Client responsibilities
- Provide timely feedback, content and approvals.
- Ensure you have the rights to any third-party materials you supply.
- Maintain confidentiality of any test credentials shared.
- Pay invoices on time.
6.Confidentiality
Both parties agree to keep confidential information shared during the engagement private, both during and after the project. A separate NDA is available on request.
7.Warranty
We warrant that all deliverables will conform to the SOW for 30 days after delivery. We will fix any defects reported within this period at no additional cost.
8.Limitation of liability
To the maximum extent permitted by law, our total liability for any claim shall not exceed the fees paid by you under the relevant SOW in the 12 months preceding the claim. We are not liable for indirect, incidental or consequential damages.
9.Termination
Either party may terminate an engagement with 14 days written notice. You will be invoiced for all work completed up to the termination date.
10.Governing law
These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts of Toronto, Ontario.
11.Changes to these terms
We may update these Terms periodically. Continued use of our website or services after changes constitutes acceptance.
